1. How to Enter: The Reunion Resort & Club of Orlando Sweepstakes ("Sweepstakes") begins on January 26, 2005 at 12:01:00 A.M. ET and ends on February 3, 2005 at 11:59:59 P.M. ET ("Sweepstakes Period"). The Sweepstakes Period is defined by Eastern Time ("ET"). To participate, register online at www.TheGolfChannel.com completely fill out all information which includes: first name, last name, complete address, city, state, zip code, telephone number (including area code), date of birth along with answers to optional marketing questions during the Sweepstakes Period and click on the sweepstakes text link or icon. You must be registered with the web site to enter. If you are a registered user, then follow the online instructions to enter. If you are not a registered user, follow the online instructions to become a registered user. Participants can only register and enter the Sweepstakes under one (1) user password and one (1) email address. Limit one (1) Entry of any kind ("collectively Entries") per person for the entire Sweepstakes Period. No copies or reproductions of the web site entry form will be accepted. Entries must be received by February 3, 2005 at 11:59:59 P.M. Multiple entries in excess of the stated limits by the same person will be disqualified. All Entry Information is required and must be completed in full. Proof of delivery or receipt of Entry will not be deemed by Sponsor (defined below) as proof of entry. Any attempted form of entry other than as described herein is void.

2. Eligibility: Sweepstakes is only open to amateur golfers or non golfers (current or past professionals not eligible) who are legal residents of the fifty (50) states of the United States (including the District of Columbia) and Canada (excluding Quebec), who are physically located and residing therein, who are 21 years of age or older as of January 25, 2005 and have a valid U.S. or Canadian drivers license. Employees of The Golf Channel, Inc. ("Sponsor"), Reunion Resort & Club of Orlando, cable operators, multiple service providers, advertising or promotion agencies, those involved in production, development, implementation or handling of Sweepstakes, and any agents acting for the above entities, and their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, or any other person or entity associated with Sweepstakes (collectively "Sweepstakes Entities") and members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether related or not are ineligible to enter Sweepstakes. Amateur status is defined as participants who have never played golf at any professional level (including but not limited to the PGA Tour, LPGA Tour, other professional tours, professional Putt-Putt or other miniature golf or individuals who otherwise have lost their amateur status under USGA rules at any time). Participants cannot be former club professionals or others who have achieved reinstatement to amateur status. Participants cannot have played at the NCAA, NAIA, or JUCO level within the past six (6) years. By participating in the Shot (defined below), Grand Prize winner will forfeit his/her amateur status.

3. Description of Prizes/Odds of Winning: One (1) Grand Prize ("GP"): One (1) trip for winner and one (1) guest to Reunion Resort & Club of Orlando. Trip consists of roundtrip coach air transportation for winner and one (1) guest from a major commercial airport near the winner's continental U.S. residence (as determined by Sponsor in its sole discretion) to Orlando, Florida; five (5) nights standard hotel accommodations for two (2) (single room/double occupancy); winner's choice (subject to Sponsor's approval) of limousine transportation from airport to hotel & hotel to airport (Saturday & Wednesday only) or economy rental car transportation for six (6)days/five (5) nights; and one (1)hole of golf for winner with Tom Watson. Winner and guest may play two (2) rounds of golf per day including cart for winner and guest. Approximate Retail Value ("ARV") of the Prize approximately $3,000, depending on cost of airline tickets from the designated destination. Trip must be taken February 10, 2005 through February 16, 2005 or Prize will be forfeited and an alternate Prize winner may be selected at Sponsor's sole discretion. Odds of winning Prize depends on the total number of eligible Entries received. GP trip is subject to air travel and hotel availability, holiday and black-out dates, and all other prize and travel restrictions. GP winner and travel guest must book their travel at the same time. GP winner and guest must take air travel on same travel itinerary. GP winner is solely responsible for all costs, incidentals, and expenses not specifically mentioned as being included, including but not limited to, unspecified ground transportation, phone calls, meals and gratuities. If winner elects to accept rental car portion of prize instead of select limousine transportation, winner or guest must have a valid U.S. driver's license, be 25 years of age or older, and have at least one major credit card in good standing. Rental car portion of prize is subject to requirements/restrictions in rental car company's standard agreement. Once determined, no change, extension or substitution of trip dates are permitted, except by Sponsor at its sole discretion. Travel Guest must be 21 years of age at time of travel to participate. In the event that Tom Watson becomes unavailable for any reason all other prize components will serve as full satisfaction of the prize and no additional compensation will be awarded. GP winner is solely responsible for all costs, incidentals, and any other expenses not specifically mentioned as being included. No substitution, transfer or cash equivalent for a prize (or prize component), except that Sponsor, at its sole discretion, may substitute a prize (or prize component) of equal value for any reason. Any depiction of prize is for illustrative purposes only. Prize notification shipped to street addresses in the U.S. or Canada only. All federal, state, provincial, local or other taxes are sole responsibility of GP winner.

4. Drawing and Notification: Potential GP winner will be randomly selected in a drawing held on or about February 5, 2005 from all eligible Entries received by The Golf Channel ("Drawing Date"). Grand prize winner will be notified by phone within three (3) call attempts on or about February 7, 2005. In the event a Grand Prize winner is unable to be reached within three (3) phone call attempts, an alternate Grand Prize winner may be selected at Sponsors' sole discretion. If potential GP winner cannot be reached after a reasonable effort has been exerted as outlined above, if he/she is found to be ineligible, if his/her prize notification is returned as undeliverable, and/or if he/she cannot or does not comply with these Official Rules, that potential GP winner will be disqualified and an alternate potential GP winner may be selected at Sponsor's sole discretion. If an entrant changes his/her email address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify Sponsor by postal mailing notice to the address listed below and to be received by the end of the Sweepstakes Period. GP Winner's name may be announced (subject to verification) on The Golf Channel.

5. General Conditions: Sweepstakes is subject to these Official Rules and all federal, provincial, state and local laws and regulations (collectively "Rules and Laws"). If GP winner is a Canadian resident he/she must correctly answer a time based mathematical skill testing question administered by phone/mail to be eligible for prize. Potential GP winner, at Sponsor's sole discretion, will be required to execute, sign, have notarized and return an Affidavit of Eligibility, a Liability Release, a Publicity Release and any other documentation that Sponsor requires (collectively "Affidavit/Release") within three (3) days after receipt by potential GP winner or such potential GP winner may be disqualified and an alternate potential GP winner may be selected at Sponsor's sole discretion. GP winner's Guest will be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsor requires within three (3) days after receipt by potential GP winner. By returning the completed Affidavit/Release, such GP winner attests to the authenticity of his/her winning entry. By entering Sweepstakes, entrants agree to all of the following: to be bound by these Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes; to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities; and to waive any rights to claim ambiguity with the Official Rules. Once submitted, Entry Information becomes the sole property of the Sponsor and will not be returned. Sponsor has the right to modify, use, assign, and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third party. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor's Privacy Policy (and terms of service) posted at the Golf Channel's Web Site. Thus, except where prohibited by law and Sponsor's Privacy Policies: (1) entry and/or GP winner's acceptance of prize constitutes permission for the Sweepstakes Entities to use GP winner's name, address (city and state), photo, likeness, biographical information, statement and voice and videotape of GP winner and/or GP winner's Putt attempt for programming for advertising/publicity purposes worldwide and in all forms of media (including posting on Web Site), in perpetuity, without further notice to or compensation in connection with said Sweepstakes or any prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. By submitting entry form, entrant confirms accuracy and veracity of the statements and information contained therein. Any person attempting to defraud or tamper with Sweepstakes will be prosecuted and is not eligible for prize. If, for any reason, Sweepstakes is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify Sweepstakes or any portion(s) thereof and conduct the drawing from all salvageable eligible Entries, if any. In case of a dispute over the identity of an entrant who submitted a winning Internet entry, the owner of the email account will be deemed the entrant, at Sponsor's sole discretion.

6. Disclaimers: Sweepstakes Entities are not responsible or liable for multiple Entries of any kind entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are late, destroyed, forged, lost, stolen, misdirected, tampered with, incomplete, deleted, damaged, postage due, garbled, mechanically duplicated and mass machine printed, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. Entrants agree and acknowledge to be bound by the Rules and Laws, as well as the decisions of Sweepstakes Administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; acceptance/possession, use/misuse, and/or defects of the prize(s) awarded herein; even if caused by the negligence of one of the Sweepstakes Entities. Entrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize, (including but not limited to, in case of Canadian winner, disputes over answers to mathematical skill test questions) any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, dropped phone lines, interrupted calls, busy signals, internet service provider; interruption or inability to access Sweepstakes or any Web Site or online service via the internet due to hardware or software compatibility problems; any damage to entrants (or any third person's) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects or any other errors or malfunctions. Sweepstakes Entities shall have no responsibility or liability for cancellations and/or delays or any change by the air carrier(s), lodging facilities, or other company or any other persons providing any of components of the prize for the GP winner and his/her guest due to reasons beyond Sponsor and/or Sweepstakes Entities control.

7. Rules/Winner's Name: To receive the Winner's Name or a copy of these Official Rules (specify which on outer envelope) send a self-addressed stamped envelope to: Reunion Resort & Club of Orlando Golf Giveaway Sweepstakes "Rules/"Winner's Name" (specify), Attn: Consumer Marketing, 7580 Commerce Center Drive, Orlando, FL 32819. All requests must be received by May 27, 2005. Winner's Name may also be posted on The Golf Channel's Web Site and the Web Site of Reunion Resort & Club of Orlando.
