1. Description: The 2005 Nationwide Tour Pro-Am Giveaway begins on April 27, 2005 at 12:01:00 A.M. and ends on November 1, 2005 at 11:59:59 P.M (“Sweepstakes Period”). Each day of the Sweepstakes Period is defined by Eastern Time (“ET”). The sweepstakes consists of fourteen (14) “Individual Sweepstakes” as illustrated in the sweepstakes Chart below and a Grand prize drawing.

2. How to Enter: To participate in any of the Individual Sweepstakes access the web site at http://www.TheGolfChannel.com (“Web Site”) during the Sweepstakes Period and click on the sweepstakes text link or icon. You must be registered with TheGolfChannel.com to enter a particular Individual Sweepstakes. If you are a registered user, then enter your email address and the Answer to the multiple choice question regarding “fast facts” about the Nationwide Tournament for a particular Individual Sweepstakes (where indicated) and click on “Enter”. If you are not a registered user, after you input your email address and Answer to the multiple choice question for a particular Individual Sweepstakes and click on “Enter”, you will be taken to TheGolfChannel.com sign up form. The sign up form requires your first name, last name, street address (including city, state and zip code, no P.O. Boxes), birth date, email address, telephone number (including area code) (optional), password of your choice and optional personal information (collectively “Entry Information”). Although telephone number is optional, it is the preferable way to contact potential winners. Submit the completed sign up form and click “Sign up” to enter. You will receive one (1) entry into the current Individual Sweepstakes and the Grand Prize drawing when you enter as a current registrant or register and enter as a new registrant with the particular correct Answer to the multiple choice question for a particular Individual Sweepstakes (“Entry”). Participants can only register and enter the sweepstakes under one (1) user password and one (1) email address. Limit one (1) Entry per person per email address per Individual Sweepstakes. To be eligible for a particular Individual Sweepstakes, Entries must be received by the “End Time and Date” for that Individual Sweepstakes, see Chart above. Multiple entries in excess of the stated limits by the same person will be disqualified. All Entry Information is required and must be completed in full. If an entrant resides in a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Proof of delivery or receipt of Entry will not be deemed by Sponsor (defined below) as proof of entry. Any attempted form of entry other than as described herein is void.

3. Eligibility: Sweepstakes is only open to legal residents of the fifty (50) states of the United States (including the District of Columbia) and Canada (excluding Quebec), who are physically located and residing therein and who are 18 years of age or older as of April 27, 2005. Employees of The Golf Channel, Inc. (“Sponsor”), The Nationwide Tour, THE PGA TOUR, Inc., Cleveland Golf, Skycastle Entertainment, Inc., Sullivan Compliance Company (“Sweepstakes Administrator”), cable operators, multiple service providers, advertising or promotion agencies, those involved in production, development, implementation or handling of sweepstakes, and any agents acting for the above entities, and their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, or any other person or entity associated with sweepstakes (collectively “Sweepstakes Entities”) and members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether related or not are ineligible to enter sweepstakes.

4. Description of Prizes/Odds of Winning: One (1) Grand Prize (“GP”): One (1) trip for winner and one (1) guest to the 2006 BMW Charity Pro-Am in Greenville, SC. Trip package includes round trip coach air transportation from a major commercial airport (as determined by the Sponsor in its sole discretion) near the winner’s residence in the U.S. or Canada (excluding Quebec); standard hotel accommodations for six (6) days/five (5) nights (single room/double occupancy); BMW car and driver for six (6) days (restrictions as to the use and distance of car and driver will be outlined in writing by Sponsor and prize supplier prior to the trip and are at the Sponsor and prize suppliers sole discretion and are subject to change); an opportunity for the winner to participate in the 2006 BMW Charity Pro-Am, and a custom fitting session at a tech van at event for complete set of clubs for winner provided by Cleveland Golf. (Approximate Retail Value (“ARV”): $14,999 U.S.). Grand Prize Winner must be able to travel April 2006 (exact dates to be determined by Sponsor in its sole discretion) or prize will be forfeited. In order to participate in the 2006 BMW Charity Pro-Am, winner must have a handicap of 27 or less certified by a Club Pro or Handicap Chairman and registered with the United States Golf Association. (“USGA”). IF YOUR GOLF CLUB IS NOT A MEMBER OF THE GHIN (GOLF HANDICAP & INFORMATION NETWORK) SYSTEM AND YOUR PERSONAL GHIN NUMBER IS NOT INDICATED, THEN CURRENT HANDICAP INDEX AND HANDICAP MUST BE CERTIFIED BY A CLUB PROFESSIONAL, THOSE PLAYERS NOT HAVING A CERTIFIED HANDICAP MUST CONTACT THE PRO-AM DIRECTOR FOR RESOLUTION. In the event that the Prize winner’s handicap score is not registered with the USGA as listed above or the handicap score does not meet the Champion’s Tour Pro-Am requirements, the BMW Charity Pro-Am spot will be substituted for a round of golf at a course and location while in Greenville, SC selected by Sponsor at its sole discretion. The Sponsor shall not be responsible for any change in Winner’s Amateur status under relevant USGA or RCGA Amateur Status Rules that may occur as a result of winning the sweepstakes, accepting and partaking in the Grand prize. Fourteen (14) Individual Sweepstakes Prizes: One (1) Cleveland HALO Hybrid Utility Club (ARV: $149.00 U.S. each) Total ARV of all prizes $17,085 U.S. Limit one (1) Prize per person/family/household for the entire Sweepstakes Period. Odds of winning an Individual Sweepstakes Prize depends on the total number of eligible Entries received for that Individual Sweepstakes. Odds of winning the Grand Prize depend on the number of eligible entries received for all Individual Sweepstakes. Air transportation will be provided only if Grand Prize (“GP”) winner resides more than one hundred (100) miles from his/her destination. GP trip is subject to air travel and hotel availability, holiday and black-out dates, and all other prize and travel restrictions. GP winner and travel guest must book their travel at the same time. GP winner and guest must take air travel on same travel itinerary. GP winner is solely responsible for all costs, incidentals, and expenses not specifically mentioned as being included, including but not limited to, unspecified ground transportation, phone calls, meals and gratuities. Once determined, no change, extension or substitution of trip dates are permitted, except by Sponsor at its sole discretion. If GP winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the allotted travel guest. If GP travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the GP winner. If Grand Prize winner and/or travel guest are residents of Canada they must obtain all necessary and required travel documents (passport, etc.). In the event that the GP becomes unavailable for any reason, including but not limited to cancellation of the BMW Celebrity Pro-Am prior to the BMW Celebrity Pro-Am Tour Event, all other prize components will serve as full satisfaction of the prize and no additional compensation will be awarded. All winners are solely responsible for all costs, incidentals, including but not limited to Canadian customs fees, and any other expenses not specifically mentioned as being included. No substitution, transfer or cash equivalent for a prize (or prize component), except that Sponsor, at its sole discretion, may substitute a prize (or prize component) of equal value for any reason. Any depiction of prizes is for illustrative purposes only. Prizes and prize notifications shipped to street addresses in the U.S. or Canada only. All federal, state, provincial, or other taxes are sole responsibility of winners.

5. Drawing and Notification: Potential Individual Sweepstakes winners will be randomly selected in a drawing held on or about one (1) week from the end dates listed in the Chart above from among all eligible entries received for that particular Individual Sweepstakes. Grand Prize winner will be selected on or about November 7, 2005 in a random drawing from all eligible Entries received from all Individual Sweepstakes. All drawings will be conducted by The Golf Channel (“Drawing Date”). Non-winning entries for a particular Individual Sweepstakes will not be retained for subsequent Individual Sweepstakes drawings. Non-winning entries for a particular Individual Sweepstakes will be retained for the Grand Prize drawing. Potential winners (their parent or legal guardian, if winners are residents of a jurisdiction that does not deem them to be of the age of majority) will be notified by email or telephone within five (5) business days of the drawing date. If notified by email, potential winner will have three (3) business days from the date the email was sent within which to respond to the prize notification email, or his/her entry will be disqualified and his/her prize forfeited and an alternate potential winner may be selected. If potential notified by telephone and a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if his/her prize notification is returned as undeliverable, or if he/she cannot or does not comply with these Official Rules, that potential winner will be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion. If an entrant changes his/her email address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify Sponsor by postal mailing notice to the address listed below, to be received by the end of the Sweepstakes Period. Winners’ names may be announced (subject to verification) on The Golf Channel.

6. General Conditions: Sweepstakes is subject to these Official Rules and all federal, provincial, state and local laws and regulations (collectively “Rules and Laws”). Canadian residents must correctly answer a time based mathematical skill testing question administered by phone/mail to be eligible for prize. Potential GP winner (if a resident of a jurisdiction that deems winner to be a minor, his/her parent or legal/guardians), at Sponsor’s sole discretion, will be required to execute, sign, have notarized and return an Affidavit of Eligibility, a Liability Release, a Publicity Release and any other documentation that Sponsor requires (collectively “Affidavit/Release”) within five (5) days after receipt by potential winner or potential Grand Prize winner may be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion. GP winner’s Guest (his/her parent/legal guardian if a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsor requires within five (5) days after receipt by potential winner. By returning the completed Affidavit/Release, such prize winner attests to the authenticity of his/her winning entry. By entering sweepstakes, entrants agree to all of the following: to be bound by these Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to indemnify and hold harmless the sweepstakes Entities from any and all liability resulting or arising from the sweepstakes; to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities; and to waive any rights to claim ambiguity with the Official Rules. If a winner is a resident of a jurisdiction that does not deem him/her to be of the age of majority prize will be awarded in the name of such minor’s parent/legal guardian. Once submitted, Entry Information becomes the sole property of the Sponsor and will not be returned. Sponsor has the right to modify, use, assign, and/or dispose of such Entries however they sees fit and for any purpose without any notice or compensation to entrant or any third party. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor’s Privacy Policy (and terms of service) posted at the Golf Channel’s Web Site. Thus, except where prohibited by law and Sponsor’s Privacy Policies: (1) entry and/or winner’s (winner’s parent/legal guardian, if winner is minor) acceptance of prize constitutes permission for the Sweepstakes Entities to use winner’s name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on Web Site and Grand Prize winner’s appearance at the 2006 BMW Celebrity Pro-Am event), in perpetuity, without further notice to or compensation in connection with said sweepstakes or any prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. Sponsor will not provide any personally identifying information of minors, regardless of its source, to any third party without the express written consent of entrant’s parent/legal guardian. Any person attempting to defraud or tamper with sweepstakes will be prosecuted and is not eligible for prizes. If, for any reason, sweepstakes is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify sweepstakes or any portion(s) thereof and conduct any or all the drawings from all salvageable eligible Entries for a or all Individual Sweepstakes and/or the Grand Prize, if any. In case of a dispute over the identity of an entrant who submitted a winning Internet entry, the owner of the email account will be deemed the entrant, at Sponsor’s sole discretion.

7. Disclaimers: Sweepstakes Entities are not responsible or liable for multiple Entries of any kind entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are late, destroyed, forged, lost, stolen, misdirected, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. By entering sweepstakes, entrants agree and acknowledge to be bound by the Rules and Laws, as well as the decisions of sweepstakes Administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to liability for any property loss, damage, personal injury or death) in connection with: participation in this sweepstakes; human error; incorrect or inaccurate transcription of entry information; acceptance/possession, use/misuse, and/or defects of the prize(s) awarded herein; even if caused by the negligence of one of the Sweepstakes Entities. Entrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the sweepstakes, to release all rights to bring claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize, (including but not limited to, in case of Canadian winners, disputes over answers to mathematical skill test questions or answers to Individual Sweepstakes questions) any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access sweepstakes or any Web Site or online service via the internet due to hardware or software compatibility problems; any damage to entrants (or any third person’s) computer and/or its contents related to or resulting from any part of this sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects or any other errors or malfunctions. Sweepstakes Entities shall have no responsibility or liability for cancellations and/or delays or any change by the air carrier(s), lodging facilities, or other company or any other persons providing any of components of the Grand Prize for the Grand Prize winner and his/her guest due to reasons beyond Sponsor and/or Sweepstakes Entities control.

All requests must be received by January 2, 2006. Winners list may also be posted on Web Site.
