1. Description: The Great Golf Channel Never Compromise Giveaway begins on August 4, 2003 at 7:00 P.M. ET and ends on September 1, 2003 at 12:00 P.M. ET (“Sweepstakes Period”). Each day of the Sweepstakes Period is defined by Eastern Time. The Sweepstakes consists of twenty-eight (28) separate and distinct daily sweepstakes (“Individual Daily Sweepstakes”) and four (4) separate and distinct weekly sweepstakes (“Individual Weekly Sweepstakes”). For start and end times, dates and entry deadlines for each Individual Daily and Weekly Sweepstakes, see Individual Sweepstakes Entry Charts (“Charts”) below.

2. How to Enter: To participate in any of the Individual Daily Sweepstakes, watch the Golf Channel nightly during the Sweepstakes Period to obtain the Sweepstakes Code (“Code”) for that particular sweepstakes between 7:00 P.M – 7:30 P.M. ET. Then, access the web site at http://www.TheGolfChannel.com (“Web Site”) during the Sweepstakes Period and click on the sweepstakes text link or icon. You must be registered with TheGolfChannel.com to enter the sweepstakes online. If you are a registered user, input your email address and Code (where indicated) for that Individual Daily Sweepstakes, then click “Enter” to enter sweepstakes. Entry into an Individual Daily Sweepstakes via the Internet is dependent on having the correct Code. If you are not a registered user of TheGolfChannel.com, after you input your email address and click “Enter”, you will be taken to TheGolfChannel.com sign up form. The sign up form requires your name, address (including zip code), birth date, telephone number (including area code), email address, and password of your choice (collectively “Entry Information”). Submit the completed sign up form and click “Sign-Up” to enter the sweepstakes. You will receive one (1) entry into the current Individual Daily Sweepstakes when you enter as a current registrant or register and enter as a new registrant with the particular Code for that sweepstakes (“Daily Entry”). Upon submission of your Daily Entry you will receive one (1) entry into that weeks Individual Weekly Sweepstakes (“Weekly Entry”). Participants can only register and enter the sweepstakes under one (1) user password and one (1) email address. Once an email address has been registered by a participant that email address and corresponding user ID cannot be used by any other person at TheGolfChannel.com Web Site. Only the participant registered under a particular email address with TheGolfChannel.com may participate in the sweepstakes.

Limit one (1) entry per person/day/Individual Daily and seven (7) entries into a given Weekly Sweepstakes, except the last week which will be eight (8). Daily and Weekly Entries must be received by the dates and times indicated in the Chart above. Multiple Daily and/or Weekly Entries in excess of stated limits by the same person will be disqualified. All Entry Information is required and must be completed in full. If an entrant resides in a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Proof of delivery or receipt of Daily and/or Weekly Entry will not be deemed by Sponsor (defined below) as proof of entry. Any attempted form of entry other than described above is void.

3. Eligibility: Sweepstakes is only open to legal residents of the fifty (50) states of the United States (including the District of Columbia, excluding Puerto Rico) and Canada (excluding Quebec), who are physically located and residing therein and who are 18 years of age or older as of August 4, 2003. Employees of The Golf Channel, Inc. (“Sponsor”), Never Compromise, Inc., Skycastle Entertainment, Inc., Sullivan Compliance Company (“Sweepstakes Administrator”), their advertising or promotion agencies, those involved in the production, development, implementation or handling of this Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, or any other person or entity associated with this sweepstakes (collectively “Sweepstakes Entities”) and members of the immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, (whether or not related) are ineligible to enter sweepstakes.

4. Description of Prizes/Odds of Winning: Daily Prize: Twenty-eight (28) Prizes (Individual Daily Sweepstakes #1-28) (one per Individual Daily Sweepstakes/drawing): One (1) Never Compromise Putter (Model #Sub 30 S2). Approximate Retail Value (“ARV”) of each Daily Prize is $90.00 U.S. Weekly Prize: Four (4) Prizes (Individual Weekly Sweepstakes #1, 2, 3, 4) (one per Individual Weekly Sweepstakes/drawing): One (1) trip for winner and one (1) guest for four (4) days/three (3) nights to the 2004 Champions Tour Event, actual location of event to be determined at Sponsor’s sole discretion. Trip package includes round trip coach air transportation for winner and guest from a major commercial airport near the winner’s residence (as determined by Sponsor in its sole discretion) in the U.S. or Canada to the 2004 Champions Tour Event; standard hotel accommodations for four (4) days (single room/double occupancy), economy rental car for four (4) days; an opportunity for the winner to either play a round of golf in a Pro-Am spot or attend a golf instructional clinic at the 2004 Champions Tour Event (activity selected at Sponsor’s sole discretion and subject to availability); and one (1) Golf Channel Prize Package for winner to include one (1) pack of golf balls, one (1) hat, and one (1) shirt. ARV of each Weekly Prize is $2,500 U.S. Limit one (1) Daily or Weekly Prize per person/family/household for the entire Sweepstakes Period. Odds of winning a Daily Prize depends on the number of eligible entries received for that particular Individual Sweepstakes. Odds of winning a Weekly Prize depends on the number of eligible entries received for that particular Individual Sweepstakes. Air transportation will be provided only if a weekly winner resides more than one hundred (100) miles from destination. Actual ARV of Weekly Prize depends on point of departure and any airfare fluctuations. Trips are subject to air travel and hotel availability, holiday and black-out dates, and all other prize and travel restrictions. In order to accept rental car portion of prize, a weekly winner or guest must have a valid U.S. or Canadian driver’s license, be 25 years of age or older, and have at least one major credit card in good standing. Trip winners and their guests must take air travel on same travel itinerary. Weekly winners are solely responsible for all costs, incidentals, and expenses not specifically mentioned as being included, including but not limited to, unspecified ground transportation, meals, phone calls, and gratuities. Weekly winners of trip in this Sweepstakes and travel guests, if residents of Canada, must obtain all necessary and required travel documents (passport, etc.). In the event that the 2004 Champions Tour Event is hosted outside of the United States, winner and travel guest must obtain all necessary and required travel documents (passport, etc.). Once determined, no change, extension or substitution of trip dates is permitted, except by Sponsor at its sole discretion. If any weekly winner of a trip is from a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be a travel guest. If a travel guest is from a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the winner. WEEKLY PRIZE WINNERS MUST BE ABLE TO TAKE TRIP IN FEBRUARY 2004 (SUBJECT TO CHANGE) AND THE TIMES SPECIFIED BY SPONSOR AT ITS SOLE DISCRETION OR PRIZE WINNER WILL BE DISQUALIFIED AND AN ALTERNATE PRIZE WINNER MAY BE SELECTED AT SPONSOR’S SOLE DISCRETION. Winners are solely responsible for all costs, incidentals, and any other expenses not specifically mentioned as being included. No substitution, transfer or cash equivalent for a prize (or prize component), except that Sponsor, at its sole discretion, may substitute a prize (or prize component) of equal value for any reason. Any depiction of prizes is for illustrative purposes only. Prizes and prize notifications shipped to U.S. and Canadian (Quebec excluded) addresses only. All federal, state, provincial, or other taxes are sole responsibility of winners.

5. Drawing and Notification: For each Individual Daily Sweepstakes and Individual Weekly Sweepstakes, a potential winner will be randomly selected by the Sponsor from all eligible entries received for that particular Individual Daily Sweepstakes or Individual Weekly Sweepstakes in a drawing held on or about the dates listed above in the charts. Eligible non-winning Daily Entries will not be retained for subsequent Individual Daily Sweepstakes drawings. Eligible non-winning Weekly Entries will not be retained for subsequent Individual Weekly Sweepstakes drawings. Potential winners (their parent or legal guardian, if winners are residents of a jurisdiction that does not deem them to be of the age of majority) may be notified by phone, mail and/or email within approximately three (3) days of the Drawing Dates. Canadian residents must correctly answer a time based mathematical skill testing question administered by phone/mail to be eligible for prize. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if his/her prize notification is returned as undeliverable, or if he/she cannot or does not comply with these Official Rules, that potential winner will be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion. If notified by email, potential winners will have three (3) business days within which to respond to the prize notification email, or be disqualified and their prizes will be forfeited and alternate potential winners may be selected. If an entrant changes his/her email address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify Sponsor by postal mailing notice to the Sweepstakes Administrator address (listed below) to be received by the end of the Sweepstakes Period. Winners’ names may be announced (subject to verification) on The Golf Channel.

6. General Conditions: Sweepstakes is subject to these Official Rules and all federal, provincial, state and local laws and regulations (collectively “Rules and Laws”). By entering Sweepstakes, entrants agree to all of the following: to be bound by these Rules and Laws, as well as the decisions of the Sweepstakes Administrator which are final and binding in all respects; to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes; to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities; and to waive any rights to claim ambiguity with the Official Rules. Potential Weekly winners (their parent or legal guardian, if winners are residents of a jurisdiction that deems them to be minors) may be required to sign, execute, have notarized, and return an Affidavit of Eligibility, (where legal) a Liability/Publicity Release and any other documentation that Sweepstakes Administrator and/or Sponsor requires (collectively “Affidavit/Release”), within five (5) days after receipt by potential winners or such potential winners will be disqualified and alternate potential winners may be selected. Each Weekly winner’s travel guest (his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) may be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsor requires within five (5) days after receipt by potential winner. By returning the completed Affidavit/Release, winners attest to the authenticity of their winning Entry. If winner is a resident from a jurisdiction that does not deem him/her to be of the age of majority prize will be awarded in the name of such minor’s parent/legal guardian. Once submitted, entries become the sole property of Sponsor and will not be returned. Sponsor has the right to modify, use, assign, and/or dispose of such entries however it sees fit and for any purpose without any notice or compensation to entrant or any third party. Except where prohibited by law, entry into this sweepstakes and/or winner’s (his/her parent/legal guardian, if winner is a resident of a jurisdiction that does not deem him/her to be of the age of majority) acceptance of prize constitutes permission for the Sweepstakes Entities to use winner’s name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on web site and/or participation in the 2004 Champions Tour Event), in perpetuity, without further notice to or compensation in connection with said sweepstakes or the prize awarded. Entrant’s information, unless otherwise determined, may be shared with promotional partners for marketing purposes. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor’s privacy policy and terms of service posted at the Sponsor’s Web Site. Any person attempting to defraud or in any way tamper with this sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, an Individual Daily and/or Weekly Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify any/all particular Individual Daily and/or Weekly Sweepstakes or any portion(s) thereof and conduct the drawing from all salvageable eligible entries received, if any. In case of a dispute over the identity of an entrant who submitted a winning Entry, the owner of the email account associated with that entry will be deemed the entrant, at Sponsor’s sole discretion.

7. Disclaimers: Sweepstakes Entities are not responsible or liable for multiple entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are late, destroyed, mutilated, forged, lost, stolen, misdirected, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules and all such entries will be disqualified. By entering sweepstakes, entrants agree and acknowledge that Sweepstakes Entities shall have no responsibility or liability for any property loss, damage, personal injury or death in connection with: participation in this Sweepstakes (including but not limited to, a particular Code or in the case of Canadian winners, disputes over answers to mathematical skill test questions); human error; acceptance/possession, use/misuse, and/or defects of the prizes awarded herein; incorrect or inaccurate transcription of Entry Information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access sweepstakes or Web Site or online service via the internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of this sweepstakes; and/or any lost/delayed data transmissions, omissions, interruptions, defects or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Sweepstakes Entities are also not responsible for pre-emption/interruption/cancellation of show containing Code, promos, or elements of the Sweepstakes. Entrants further acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize.
