1. Description: The Aloha Swing Watch & Win Sweepstakes 4 (“Sweepstakes”) begins on January 24, 2005 at 7:00:00 P.M. ET and ends on January 31, 2005 at 6:00:00 P.M. ET (“Sweepstakes Period”). For purposes of this Sweepstakes, all times refer to Eastern Time (“ET”).

2. How to Enter: There are two (2) ways to enter: by Internet or Postal mail. Internet Entry: To participate in the Sweepstakes via the Internet, watch Golf Central (“Show”) aired on The Golf Channel nightly during the Sweepstakes Period to obtain the Sweepstakes Code (“Code”). Check local TV listings for show schedules in your local viewing area, which may be changed or preempted (Show schedule may change from day-to-day) without notice or call local cable operator broadcasting the program for details. Then, access the web site at http://www.thegolfchannel.com (“Web Site”) during the Sweepstakes Period and click on the Sweepstakes text link or icon. You must be registered with thegolfchannel.com to enter the Sweepstakes online. If you are a registered user, input your email address and Code (where indicated), then click “Enter” to enter Sweepstakes. Entry into the Sweepstakes via the Internet is dependent on having the correct Code. If you are not a registered user of thegolfchannel.com, after you input your email address and click “Enter”, you will be taken to TheGolfChannel.com sign up form. The sign up form requires your first name, last name, street address (including city, state and zip code, no P.O. Boxes), birth date, email address, telephone number (including area code) (optional), password of your choice, Sweepstakes Code, and optional personal information. Submit the completed sign up form and click “Sign-Up” to enter the Sweepstakes. You will receive one (1) entry into the Sweepstakes when you enter as a current registrant or register and enter as a new registrant with the Code for the Sweepstakes (“Internet Entry”). Participants can only register and enter the Sweepstakes under one (1) user password and one (1) email address. Once an email address has been registered by a participant that email address and corresponding user ID cannot be used by any other person at thegolfchannel.com Web Site. Participants can only register and enter the Sweepstakes under one (1) user password and one (1) email address. Internet Entries must be received by 6:00:00 P.M. ET on January 31, 2005. Limit one (1) Entry per person per email address per day. Multiple entries in excess of the stated limits by the same person will be disqualified. Mail Entry: To participate in the Sweepstakes via Postal mail without watching the Show and obtaining the Code, legibly hand-print your first name, last name, street address (including city, state and zip code, no P.O. Boxes), birth date, email address (optional), and telephone number (including area code) on a standard size postcard (no larger than 5”x7”) or on a piece of paper enclosed in a standard size (#10) envelope and mail to: Aloha Swing Watch & Win Sweepstakes 4, P.O. Box 6249, Burbank, CA 91510 (“Mail Entry”). Mail Entries must be postmarked by January 31, 2005 and received by February 7, 2005 to be eligible. All entry information is required and must be completed in full. If an entrant resides in a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Proof of delivery or receipt of Internet and Mail Entry (collectively “Entries”) will not be deemed by Sponsor (defined below) as proof of entry. Any attempted form of entry other than as described herein is void.

3. Eligibility: Sweepstakes is only open to legal residents of the fifty (50) states of the United States (including the District of Columbia) and Canada (excluding Quebec), who are physically located and residing therein and who are 18 years of age or older as of January 24, 2005. Employees of The Golf Channel, Inc. (“Sponsor”), United Vacations, Hawaiian Visitors and Convention Bureau, Hilton Hotels Corporation, Skycastle Entertainment, Inc., Sullivan Compliance Company (“Sweepstakes Administrator”), cable operators, multiple service providers, advertising or promotion agencies, those involved in production, development, implementation or handling of Sweepstakes, and any agents acting for the above entities, and their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, or any other person or entity associated with Sweepstakes (collectively “Sweepstakes Entities”) and members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether related or not are ineligible to enter Sweepstakes.

4. Prize/Odds of Winning: One (1) Prize: One (1) trip for winner and one (1) guest to Hawaii’s Big Island. Trip package includes round trip coach air transportation from a city serviced by United Airlines (as determined by the Sponsor in its sole discretion) near the winner’s residence in the U.S. or Canada (excluding Quebec) to Hawaii; standard hotel accommodations for five (5) nights (single room/double occupancy) at the Hilton Waikoloa Village; midsize car rental for six (6) days, one (1) round of golf for winner and guest (Golf Course to be determined by Sponsor in their sole discretion); one (1) fifty (50) minute Lomi Lomi massage treatment each for winner and guest at the Kohala Sports Club and Spa (location and actual massage treatment subject to change at Sponsor’s sole discretion); and daily use of the seaside putting course for winner and guest (Approximate Retail Value (“ARV”): $4,999 U.S.). Odds of winning Prize depends on the total number of eligible Entries received. Air transportation will be provided only if Prize winner resides more than one hundred (100) miles from his/her destination. Air transportation provided only if winner does not reside on the Big Island of Hawaii. Winner has one (1) year from notification of winning to take trip or it will be forfeited. Trip is subject to air travel and hotel availability, holiday and black-out dates, and all other prize and travel restrictions. Winner and travel guest must book their travel at the same time. Winner and guest must take air travel on same travel itinerary. Winner is solely responsible for all costs, incidentals, and expenses not specifically mentioned as being included, including but not limited to, unspecified ground transportation, phone calls, meals and gratuities. Once determined, no change, extension or substitution of trip dates are permitted, except by Sponsor at its sole discretion. If winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the allotted travel guest. If travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the winner. To accept rental car component, winner and/or a guest (if applicable) must have a valid U.S. or Canadian driver’s license, be 25 years of age or older, and have at least one major credit card in good standing. In the event a winner or a trip travel guest does not have a valid U.S. or Canadian driver’s license, is under 25 years of age, or does not have at least one major credit card in good standing, then rental car component of prize will be forfeited and remaining elements of trip shall constitute full satisfaction of said prize and no additional compensation will be awarded. If Prize winner and/or travel guest is a resident of Canada, he/she must obtain all necessary and required travel documents (passport, etc.). No substitution, transfer or cash equivalent for prize (or prize component), except that Sponsor, at its sole discretion, may substitute prize (or prize component) for one of equal value for any reason. In the event that a prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded. Any depiction of prize is for illustrative purposes only. Prize notification shipped to a street address in the U.S. or Canada only. All federal, state, provincial, or other taxes are sole responsibility of winner.

5. Drawing and Notification: Potential winner will be randomly selected from among all eligible Entries received in a drawing held on or about February 14, 2005 by Golf Channel (“Drawing Date”). Potential winner (his/her parent or legal guardian, if winner is a resident of a jurisdiction that does not deem him/her to be of the age of majority) will be notified by phone and/or email within five (5) business days of the drawing date. If potential winner is notified by email he/she must respond within five (5) business days of notification of winning to claim his/her prize or an alternate winner may be selected. If winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if his/her prize notification is returned as undeliverable, and/or if he/she cannot or does not comply with these Official Rules, that potential winner will be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion. If potential winner is a Canadian resident he/she must correctly answer a time based mathematical skill testing question administered by phone/mail/email to be eligible for prize. If an entrant changes his/her email address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify Sponsor by postal mailing notice to the Sponsor address (listed below) to be received by the end of the Sweepstakes Period. Winner’s name may be announced (subject to verification) on The Golf Channel.

6. General Conditions: Sweepstakes is subject to these Official Rules and all federal, provincial, state and local laws and regulations (collectively “Rules and Laws”). Potential winner (if resident of a jurisdiction that deems winner to be a minor, his/her parent or legal/guardian), at Sponsor’s sole discretion, will be required to execute, sign, have notarized and return an Affidavit of Eligibility, a Liability Release, a Publicity Release and any other documentation that Sponsor requires (collectively “Affidavit/Release”) within five (5) days after receipt by potential winner or such potential winner may be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion. Winner’s Guest (his/her parent/legal guardian if a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsor requires within five (5) days after receipt by potential winner. By returning the completed Affidavit/Release, prize winner attests to the authenticity of his/her winning entry. By entering Sweepstakes, entrants agree to all of the following: to be bound by these Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes; to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities; and to waive any rights to claim ambiguity with the Official Rules. If winner is a resident of a jurisdiction that does not deem him/her to be of the age of majority, prize will be awarded in the name of such minor’s parent/legal guardian. Once submitted, entry information becomes the sole property of the Sponsor and will not be returned. Sponsor has the right to modify, use, assign, and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third party. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor’s Privacy Policy (and terms of service) posted at the Golf Channel’s Web Site. Thus, except where prohibited by law and Sponsor’s Privacy Policies: (1) entry and/or winner’s (winner’s parent/legal guardian, if winner is minor) acceptance of prize constitutes permission for the Sweepstakes Entities to use winner’s name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on Web Site), in perpetuity, without further notice to or compensation in connection with said Sweepstakes or prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. Sponsor will not provide any personally identifying information of minors, regardless of its source, to any third party without the express written consent of entrant’s parent/legal guardian. Any person attempting to defraud or tamper with Sweepstakes will be prosecuted and is not eligible for prize. If, for any reason, Sweepstakes is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify Sweepstakes or any portion(s) thereof and conduct the drawing from among all salvageable eligible Entries received, if any. In case of a dispute over the identity of an entrant who submitted the winning via Internet entry, the owner of the email account will be deemed the entrant, at Sponsor’s sole discretion.

7. Disclaimers: Sweepstakes Entities are not responsible or liable for multiple Entries of any kind entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are late, destroyed, forged, lost, stolen, misdirected, tampered with, incomplete, deleted, damaged, mechanically duplicated and mass machine printed, postage-due, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. The sponsor of this promotion is The Golf Channel, Inc., which is solely responsible for all aspects of the promotion. By participating in this promotion, all participants and prize winner agree that Hilton Hotels Corporation, its partnerships, subsidiaries and affiliates and each of such entities’ respective officers, directors, agents and employees are not responsible or liable for any injury, loss, illness, litigation or damage that may occur from participation in the promotion or acceptance, possession, use or misuse of prize. In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, participants agree that the dispute shall be resolved by applying the laws of Florida and that it shall be resolved by and within the courts of that state. By entering Sweepstakes, entrants agree and acknowledge to be bound by the Rules and Laws, as well as the decisions of Sweepstakes Administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes; human error; incorrect or inaccurate transcription of entry information; acceptance/possession, use/misuse, and/or defects of the prize(s) awarded herein; even if caused by the negligence of one of the Sweepstakes Entities. Entrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize, (including but not limited to, incase of Canadian winners, disputes over answers to mathematical skill test questions or Sweepstakes Code) any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access Sweepstakes or any Web Site or online service via the internet due to hardware or software compatibility problems; any damage to entrants (or any third person’s) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects or any other errors or malfunctions. Sweepstakes Entities shall have no responsibility or liability for cancellations and/or delays or any change by the air carrier(s), lodging facilities, or other company or any other persons providing any of components of the prize for the winner and his/her guest due to reasons beyond Sponsor and/or Sweepstakes Entities control.

All requests must be received by March 31, 2005. Name of winner may also be posted on Web Site.
